XI. Entire Agreement, etc...

1. General

a. The Terms and Conditions constitute the entire agreement between Execulink Telecom and you pertaining to your use of the Services and supersedes any prior agreements between you and Execulink Telecom.

b. Execulink Telecom's failure to insist upon or enforce strict performance of any right or provision of the Terms and Conditions shall not constitute or be construed as a waiver of any right or provision.

c. If any of the provisions (or parts thereof) contained in the Terms and Conditions are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions (or parts thereof) contained herein and any such invalid or unenforceable provision or covenant shall be deemed to be severable.

d. Execulink Telecom reserves the right to revise, amend, or modify any of the Terms of Service (ToS), Acceptable Use Policy (AUP) and our other policies and agreements at any time and in any manner.

e. The Terms and Conditions shall be governed by and construed in accordance with the laws of the province of Ontario and the federal laws of Canada applicable therein. The Service Agreement, Order Form or Subscription, including any schedules, addendums, appendices or other attachments thereto, shall endure to the benefit of, and be binding upon, the parties hereto, and their respective successors and permitted assigns.

f. The parties have required that the Terms and Conditions and all documents relating thereto be drawn up in English. Les parties ont demandé que cette convention ainsi que tous les documents que s'y rattachent soient rédigés en anglais.

2. Customer Care, Billing, Collection & Complaint Resolution

Any notice, request, demand, consent or other communication provided or permitted hereunder shall be in writing and given by personal delivery, or sent by registered mail, postage prepaid, or transmitted by facsimile or other form of recorded communication tested prior to transmission, addressed to the party for which it is intended at its address set out in this Agreement.
